Does Brigham Minerals pay dividends?

We expect to pay dividends on our common stock in amounts determined by our board of directors. In determining whether, and in what amounts, to pay such dividends, our board of directors will take into account:

  • Our financial condition and operating results;
  • Our free cash flow and current and anticipated cash needs;
  • Our capital requirements;
  • Contractual, legal, tax and regulatory restrictions and implications on the payment of dividends by us to our stockholders or by our subsidiaries to us; and
  • Such other factors as our board of directors may deem relevant.

Are any portion of Brigham Minerals’ dividends considered a return of capital?

Depending on multiple variables that can change from quarter to quarter, a portion of Brigham Minerals’ dividend can constitute non-taxable reductions to the tax basis. A Form 8937 can be found here. This document is provided for general information only and does not contain a complete analysis or description of all potential U.S. Federal, State, Local, and Non-U.S. income tax consequences. Each holder of MNRL shares is strongly urged to consult with and rely upon its own tax advisor as to the specific U.S. Federal, State, Local, and Non-U.S. tax consequences to such holder related to the return of capital. The final determination of the tax treatment of annual dividends vs. return of capital is reported to shareholders on Form 1099-DIV.
